Summary

Metriks ApS (“Metriks”, “we”) is the operator of this service (“Metriks platform”, “Metriks service”, “Metriks app”, “Service”, “Services”, “Platform”), and it is provided to you (the “Client”, “Customer”, “You”, “Your”). We expect you to use this Service responsibly and according to these terms. If not, we will terminate your account.

The data fed into the Service is owned by you, and it is your responsibility to keep it safe and up to date.

The Terms of Service (“Terms”), the Service, prices and features can potentially change at any moment. In case of price changes, we will announce the price changes 30 days in advance.

Agreement

Your use of our Services is governed by these Terms. Service is defined as everything offered by Metriks, and therefore is the followed, but not limited to: our website, blog, offerings, API, and software.

You must agree to these Terms in order to use our Services. Usage of the Services is treated as an acceptance of these Terms. We might change these terms, and if you do not agree with the changes, you must cancel your subscription and terminate your account.

Account

• You may only use the Service if you have a valid company registration number.

• You must be over the age of 18.

Usage

• You must provide correct, accurate and complete information when registering for an account.

• You have the sole responsibility for the strength of your passwords, and therefore also full responsibility for the usage of your account.

• You are not allowed to share your account with other people in order to avoid paying subscription fees unless agreed otherwise.

• You agree to use the Service in such a way that it complies with all applicable laws, regulations, ordinances and does not disrupt nor interferes with the Service.

Policies

The Service and the usage of it is subject to your Privacy Policy. By using our Services, you agree to the usage of Your data in accordance with that policy.

Cancellation and Termination

• You are allowed to cancel Your account at any given moment, subject to the agreed upon cancellation terms for the individual plans.

• You must cancel Your account by sending us an email.

• You agree that Metriks can terminate and/or suspend your account at any moment and in its sole discretion. This may happen without prior notice, and You agree that Metriks is not liable to You or third parties for such termination and/or suspension.

Feedback

We are open to feedback from active users. Click on the “feedback” widget, and you will be able to send us feedback.

Modifications

• You agree that our Service may change, and this will happen without prior notice to You. These changes might affect every aspect of the Service.

• We shall not be held liable to You or any third parties for such.

External Resources

The Service may contain links to external resources (websites, etc.). Metriks is not responsible for the content nor availability of those resources. A link is not considered an endorsement. Usage of external resources and websites is subject to separate terms and policies found on those pages.

License and Restrictions

• Any content available on the Service or through the Service is owned and/or controlled by Metriks or other relevant licensors or users of the Service. You acknowledge and agree that the Service and any technology used in connection with providing the Service is our proprietary information.

• We grant you a license for the sole purpose of enabling you to access and use the Service as provided by us, subject to these Terms.

• You may not (and ask others to) reverse engineer the Service, disable or circumvent security features used by or implemented in the Service.

• Some of the components used in the Service are subject to an open source license.

• You are not allowed to use the Service in such a manner that damaged, disrupts, disables, burdens or impairs our servers, networks and infrastructure in general.

• You are not allowed to gain or attempt to gain unauthorized access to the Service, user accounts, networks, servers, and infrastructure in general.

Data

• Metriks may use data generated from the use of the Services to analyse, maintain, offer, price and develop the Services. The data in question does not include Personal Data.

• Metriks may only use data for industry-specific and benchmarks in anonymised form. After the termination of this agreement, Metriks may only use (any) data in anonymised form.

• We do not share your data with anyone, except if required by law.

• Metriks is the processor of data, and the Client is the controller.

Disclaimer

We give no warranties when it comes to the correctness and accuracy of the numbers, metrics, results, and analyses provided and calculated by the Service.

Indemnification

You agree to hold harmless and indemnify Metriks, and its subsidiaries, officers, affiliates, agents, employees, advertisers, licensors, partners, and suppliers from and against any third party claim.

Choice of Law and Dispute Resolution

This agreement shall be governed by and construed in accordance with the laws of Denmark without regard to applicable principles of conflicts in law. Any action arising out of this agreement shall be brought in the Court of Lyngby.
